Job Title: Subject Matter Expert (SME) – IPO / Rights Issue Processing Application Development – RTA Shape ? Role Summary The Subject Matter Expert (SME) will lead the design and implementation of a state-of-the-art system for managing Initial Public Offerings (IPOs), Follow-on Public Offers (FPOs), and Rights Issues for the Registrar and Transfer Agent. This role involves establishing robust processes and systems, driving operational excellence, and contributing to business growth by acquiring new opportunities in IPO and Rights Issue handling. The SME will ensure full compliance with SEBI regulations, maintain accuracy in shareholder records, and enable seamless execution of corporate actions. Shape ? Key Responsibilities 1. Process Design & Requirement Gathering Lead requirements for IPO/Rights Issue automation including BID Files, Reconciliation, Basis of Allotment, MIS and Communication to Bankers and Investors. Document BRD, FRD, data flow diagrams, process maps, rule-engine logic, and automation workflows. Define exception handling, escalation paths, audit checks, approval matrices, and maker-checker controls. Shape 2. IPO / Rights Issue Module Responsibilities Define rules for allotment of shares basis the Banks confirmation and as per SEBI ICDR Regulations, preparation of various regulatory MIS and allotment/rejection intimation to investors / Banks Implement automated workflows for Allotment of Rights Entitlement, BENDEN matching, BID File reconciliation with Banks data, Allotment of Shares basis the BID file and communication to Investors / Banks Ensure all IPO and Rights Issue activities comply with SEBI guidelines, and stock exchange requirements. Oversee end-to-end process for IPOs and Rights Issues including application validation, basis of allotment, share credit, and refunds. Liaise with issuers, merchant bankers, stock exchanges, and depositories. Identify operational risks and implement controls to mitigate errors. Enable automated Schedule, reminders, communication to various stakeholders and IPO / Rights Issue dashboards. Shape 3. Application Development & Integration Work with engineering teams to build IPO/ Rights Issue processing modules, workflows, and user interfaces. Manage API integrations for PAN, BID File from Stock Exchanges and any other integration required as per process requirement. Shape 4. Testing, Compliance & Quality Lead UAT, regression testing, SIT, and defect management. Ensure audit readiness, transaction traceability, and financial control framework alignment. Validate reconciliation logs, approval trails, and data governance processes. Shape 5. Reporting & Data Analytics Build dashboards for Issuer / Lead Managers on Issue performance, Tracking of activities as per Schedule, downloading various Issue related MIS etc. Monitor automation rate, STP percentage, and system performance. Shape 6. Business Development Coordinate with various stakeholders involved in IPO / Rights Issues viz. Lead Arrangers, Merchant Bankers and other stake holders conveying our readiness for handling new issuances Contribute in business growth by acquiring new opportunities in IPO and Rights Issue handling Shape ? Experience Required 8–15 years experience in RTA operations with specialization in IPO/Rights Issue handling Shape ? Skills Required Strong understanding of SEBI regulations, Shareholder Record management, Analytical and Communication skills, Proficiency in MS Excel and RTA software platforms. Shape ? Competency Framework Detail-oriented with strong compliance mindset. Ability to manage high-volume transactions under strict timelines Problem-solving and decision-making under pressure.
